Draft for a lawyer's review. Not legal advice. Not in force. Nothing here applies to any contributor or repository until Anh approves it and it is published as version 1.0.

Summary

  • CLA.md: draft Orbyn Individual Contributor Licence Agreement, version 0.1.
    • Contributors keep their copyright and grant Anh Dang a broad copyright and patent licence, including the right to relicense under any licence ("Option Five").
    • A new Section 2.7 lets contributors edit a local copy to prepare contributions, which PolyForm Strict would otherwise forbid.
  • REVIEW.md: why this base was chosen, and the decisions for counsel and Anh.
  • .github/workflows/cla.yml: a check that the PR author has accepted. It is workflow_call only, and no repository calls it.
  • examples/: a caller workflow, a CONTRIBUTING snippet and a PR-template line, for each repository's owner to add after approval.
  • Signatures will live in the private orbyn-dev/cla-signatures, recording GitHub ids and links only, with no personal data.

Source

  • Used: Harmony Individual Contributor License Agreement 1.0, https://www.harmonyagreements.org/agreements (file docs/ha-cla-i-v1.odt, version 1.0, 2011-07-04). It is licensed under CC BY 3.0 Unported, which the document itself states. It is adapted with credit, and every change is listed at the end of CLA.md.
  • Not used: the Apache ICLA (https://www.apache.org/licenses/icla.pdf). The document carries no licence of its own, so none of its text is copied.
  • Check: written for this repo on actions/github-script v9.0.0 (MIT), pinned to commit 3a2844b7e9c422d3c10d287c895573f7108da1b3. CLA Assistant Lite (Apache-2.0) was archived in March 2026, so it isn't used and none of its code is copied.

Testing

  • The workflow YAML parses. It has not been run, by design.
  • Not tested: a live run of the check, which needs the token and an approved agreement.

Decided

  • The engine moves to MIT OR Apache-2.0. The apps (orbyn-planner, orbyn-engineering) and orbyn.dev stay on PolyForm Strict 1.0.0.
  • This Agreement covers orbyn-engine, orbyn-planner, orbyn-engineering and orbyn.dev. The engine keeps it as well, so one rule applies to all four and a commercial licence stays possible.
  • The skills library stays MIT for good. It uses a DCO sign-off (git commit -s), not this Agreement.

Open questions for counsel

These are in REVIEW.md:

  • Who "We" is.
  • A licence or an assignment.
  • The scope of Section 2.7.
  • Whether acceptance by comment is enough.
  • Governing law.
  • Minors.
  • An entity version.
  • Pull requests opened before the Agreement.

AI usage

  • Written by hand, with no AI
  • Harness and version: Claude Code 2.1.318
  • Models: claude-opus-5-5 (drafting)
  • Effort: medium
  • Human role: Anh decided to use a CLA for every product and approved this plan. A lawyer will review the text.
  • Sources: Harmony Individual CLA 1.0 (CC BY 3.0) and actions/github-script v9.0.0 (MIT), both above.
